To comply with Rules 504, 505 or 506 of Regulation D, any company conducting an offering must file a Form D with the SEC and each State in which the offering will be sold. In addition to these filing requirements a Private Placement Memorandum (PPM), and by extension your PM template, must contain specific Blue Sky or North American Securities Administrators Association (NASAA) Jurisdictional Legends.
